Terms of Service

By accessing or using Omniveil AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Omniveil AI LLC ("Omniveil", "we", "us", or "our").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you must not access or use the Service.

Omniveil AI is an AI-powered business operations platform that provides the following capabilities:

• AI Chat: Conversational AI assistants powered by large language models for research, writing, analysis, and general business support.
• Task Management: Workspace tools for organizing, tracking, and collaborating on tasks and projects.
• Agent Orchestration: Automated AI agents that perform specialized business functions on your behalf, including monitoring, content creation, and data analysis.
• Content Creation: AI-assisted tools for generating text, images, audio, and video content for marketing and communications.
• Integrations: Connections to third-party platforms and services to streamline workflows across your business tools.

The specific features available to you depend on your subscription plan. We reserve the right to modify, update, or discontinue features with reasonable notice.

The Service relies on artificial intelligence to deliver its core functionality. By using the Service, you acknowledge and agree to the following:

• Third-Party AI Processing: Your messages, prompts, and associated context data are transmitted to the Anthropic Claude API for processing. This is essential to the operation of the Service.
• No Guarantee of Accuracy: AI-generated responses, content, and outputs may contain errors, inaccuracies, or outdated information. The Service does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• User Responsibility: You are solely responsible for reviewing, verifying, and validating all AI-generated content before relying on it for any purpose, including but not limited to business decisions, legal matters, financial actions, medical advice, or public communications.
• Not Professional Advice: AI-generated content does not constitute legal, financial, medical, or other professional advice. You should consult qualified professionals for matters requiring expert judgment.

To access the Service, you must create an account. When registering and maintaining your account, you agree to:

• Accurate Information: Provide truthful, accurate, and complete information during registration and keep it updated. Providing false or misleading information is grounds for account termination.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access.
• One Account Per Person: Each individual may maintain only one account unless explicitly authorized by Omniveil for organizational use.
• Age Requirement: You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

Access to the Service requires a paid subscription. By subscribing, you agree to the following billing terms:

• Payment Processing: All payments are processed securely through Stripe. We do not store your full credit card details. Stripe's terms and privacy policy apply to payment transactions.
• Recurring Billing: Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, you will retain access to the Service through the end of your current billing period. No partial refunds are issued for unused time within a billing cycle.
• Refund Policy: If you are unsatisfied with the Service, you may request a full refund within 14 days of your initial subscription purchase. Refund requests after this 14-day window are evaluated on a case-by-case basis. To request a refund, contact [email protected].
• Price Changes: We reserve the right to modify subscription pricing. You will receive at least 30 days' written notice before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Failed Payments: If a payment fails, we will attempt to process the charge again and notify you. If payment remains unsuccessful after a reasonable number of attempts, your access to the Service may be suspended until the balance is resolved.

You retain full ownership of all data, content, and materials you upload, create, or input into the Service ("User Content").

• License to Omniveil: By using the Service, you grant Omniveil a limited, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of operating, maintaining, and improving the Service. This license terminates when you delete your content or close your account.
• AI-Generated Content: Content generated by AI through your use of the Service belongs to you. You are free to use, modify, distribute, and commercialize AI-generated outputs as you see fit, subject to applicable laws and the usage restrictions in Section 7.
• No Claim by Omniveil: We do not claim ownership of your User Content or AI-generated outputs. We will not use your content for marketing, training, or any purpose beyond providing the Service without your explicit consent.
• Data Export: You may export your data at any time. Upon account termination, you will have a 30-day window to export your data before it is permanently deleted.

You agree not to use the Service for any of the following prohibited activities:

• Illegal Activity: Any use that violates applicable local, state, national, or international law or regulation.
• Prompt Manipulation: Attempting to bypass, circumvent, or manipulate AI safety measures, content filters, or usage restrictions through prompt injection, jailbreaking, or similar techniques.
• Reselling or Redistribution: Reselling, sublicensing, or redistributing the Service or access to it without prior written consent from Omniveil.
• Harmful Content: Generating, distributing, or storing content that is defamatory, harassing, threatening, obscene, or that promotes violence or discrimination.
• Impersonation: Using AI-generated content to impersonate real individuals, create deepfakes, or deceive others about the origin or authenticity of content.
• System Abuse: Attempting to disrupt, overload, or interfere with the Service's infrastructure, including denial-of-service attacks, unauthorized access attempts, or automated scraping beyond normal use.
• Reverse Engineering: Attempting to reverse engineer, decompile, or extract the source code, algorithms, or underlying technology of the Service.
• Competitive Use: Using the Service to develop a competing product or service, or to benchmark the Service for competitive purposes without prior written consent.

Violation of these restrictions may result in immediate suspension or termination of your account without refund.

To the maximum extent permitted by applicable law:

• Liability Cap: Omniveil's total aggregate liability to you for any and all claims arising from or related to the Service shall not exceed the total amount of fees you have paid to Omniveil during the twelve (12) months immediately preceding the event giving rise to the claim.
• AI Content Liability: Omniveil shall not be liable for any decisions made, actions taken, or outcomes resulting from your reliance on AI-generated content, recommendations, or outputs provided by the Service.
• Exclusion of Damages: In no event shall Omniveil be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether Omniveil was advised of the possibility of such damages.
• Third-Party Services: Omniveil shall not be liable for any issues, outages, or damages arising from third-party services integrated with or used by the Service, including but not limited to AI API providers, payment processors, or authentication services.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Omniveil's liability shall be limited to the greatest extent permitted by law.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

Omniveil expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of AI-generated content or any information provided through the Service.
• Any warranty regarding the results that may be obtained from the use of the Service.

You acknowledge that the Service utilizes AI technology that is inherently probabilistic and may produce unexpected, inaccurate, or inconsistent results. Your use of the Service and reliance on its outputs is at your sole risk.

Either party may terminate this agreement under the following conditions:

You agree to indemnify, defend, and hold harmless Omniveil AI LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service or any activity under your account.
• Your violation of these Terms or any applicable law or regulation.
• Your User Content or any content you generate, publish, or distribute using the Service.
• Your reliance on or use of AI-generated content in ways that cause harm to third parties.
• Any claim by a third party that your use of the Service infringes upon their intellectual property or other rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Connecticut. You consent to the personal jurisdiction and venue of such courts and waive any objections to the convenience of such forum.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

We reserve the right to modify these Terms at any time. When we make changes:

• Material Changes: We will provide at least 30 days' notice before material changes take effect, via email or a prominent notice within the Service.
• Non-Material Changes: Minor corrections or clarifications may be made without advance notice. The "Last updated" date will reflect any revisions.
• Acceptance: Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription.
